Secure Payment Process via Hong Kong (CSC)

To ensure the integrity of international transactions, financial management is conducted under the legal framework of the Hong Kong SAR through Confluence Synergy & Co. Limited:

  1. 50% upon signing the contract: Start of custom manufacturing at an automated factory (China).

  2. 25% upon shipment (FOB): Issuance ofthe oceanbill of lading (B/L), quality inspection reports, and export documents.

  3. 25% upon delivery/acceptance on site: Final transfer of ownership, handover of keys, and activation of the 10-year structural warranty.

Retention of Title Clause: Legal ownership of the modules remains with Hermitage Modular until the contract has been paid in full.

Commitments & Division of Responsibilities

Hermitage Modular's Commitments:

  • Guarantee of compliance with European standards (RE2020, Eurocodes, CE marking).

  • 10-year structural warranty (galvanized steel frame, PIR insulation, PVDF siding) and a 2-year warranty on equipment.

  • Technical supervision of manufacturing and installation support.

Responsibilities of the Local Agent/Developer:

  • Obtaining local zoning permits (building permits, prior notification).

  • Site preparation (geotechnical study, concrete slabs, concrete footings, or foundation screws) according to our reservation plans.

  • Handling of import customs clearance procedures and payment of local VAT (unless otherwise specified in a DDP agreement).

Incoterms & Commercial Terms (EXW, FOB, CIF, DDP)

Customs and VAT Notes for Imports:

  • Customs duties: Estimated at between 0% and 5%, depending on the HS code applicable in the country of destination.

  • Import VAT: For deliveries to Europe, VAT (e.g., 20% in France) is calculated based on the CIF value (FOB value + ocean freight + insurance) and paid to customs authorities by the customer or through their freight forwarder.
